Terms of Service for Saku (SakuStocks)

1. Acceptance of Terms By downloading, accessing, or using the Saku mobile application ("Saku"), owned and operated by Saku Financial Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the application. These Terms govern your access to Saku, including any updates, features, and new versions.

2. Description of the Service Saku is a gamified, botanical-themed financial tracking application. Users ("Gardeners") can build simulated portfolios ("Gardens"), track real-time market data, interact with other users, and utilize artificial intelligence features for macroeconomic summaries. Saku utilizes a gamified progression system involving experience points (XP) and a virtual simulation currency ("Seeds").

3. STRICT "NO FINANCIAL ADVICE" DISCLAIMER PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Saku Financial Inc. is NOT a registered broker-dealer, investment advisor, or financial institution.

• Educational and Entertainment Purposes Only: All market data, AI-generated summaries, stock tracking, and gamified mechanics provided within Saku are strictly for educational, informational, and entertainment purposes.
• No Fiduciary Duty: Nothing contained in the app constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any securities, crypto-assets, or other financial instruments.
• No Real-World Trading: Saku does not connect to any real-world brokerages. You cannot execute real trades through our platform. You assume full responsibility for any real-world financial decisions or trades you make outside of the Saku application. Saku and its creators shall not be held liable for any real-world financial losses incurred based on information or simulations viewed within the app.

4. Virtual Currency ("Seeds") and Gamification Rules To facilitate our educational simulation, Saku employs a virtual currency referred to as "Seeds."

• No Fiat or Monetary Value: "Seeds" are a strictly virtual, simulated currency. They have an absolute value of zero in fiat currency (e.g., $0.00 USD).
• No Cash-Out or Redemption: Seeds cannot be withdrawn, transferred, sold, or exchanged for real money, cryptocurrency, goods, or services outside of the Saku application under any circumstances.
• Simulated Risk: While you may "risk" or "stake" Seeds on the directional movement of real-world stocks within the app, this is entirely a simulation. No real money is ever deposited, wagered, or paid out. This feature does not constitute real-money gambling.

We reserve the right to modify, reset, or eliminate Seed balances and XP at our sole discretion without liability to you.

5. User Accounts and Security To become a "Gardener," you must create an account. You agree to provide accurate, current, and complete information during registration. You are solely responsible for safeguarding your password and for all activity that occurs under your account (UID). Saku uses Google Firebase for secure authentication. You must promptly notify us of any unauthorized use of your account.

6. User-Generated Content (UGC) and Conduct Saku includes social features, such as public profiles, the ability to follow others, and custom usernames. To comply with Apple App Store and Google Play Store guidelines, you agree strictly to the following rules regarding User-Generated Content:

• Zero Tolerance Policy: We maintain a strict zero-tolerance policy for objectionable content and abusive users. You may not create usernames, profile descriptions, or engage in in-app behaviors that are: unlawful, defamatory, harassing, abusive, fraudulent, obscene, or that contain hate speech, promote violence, or infringe on the intellectual property of others.
• No Impersonation: You may not impersonate any other person, entity, or certified financial professional.
• Enforcement and Moderation: Saku reserves the right to review, monitor, and remove any UGC at our absolute discretion. We reserve the right to permanently ban or suspend accounts that violate these guidelines without prior notice.
• User Blocking and Reporting: Saku provides in-app tools to block abusive users and report offensive content. We are committed to maintaining a safe environment and will act on reports within a reasonable timeframe (typically 24 hours).

7. Third-Party Services and AI Generation Saku integrates with third-party APIs to provide its services.

• Market Data (Tiingo & Binance): We provide market data "as is." Saku does not guarantee the accuracy, completeness, or timeliness of pricing data provided by these third parties.
• AI Assistant (Google Gemini): Saku utilizes generative AI to provide macroeconomic summaries. AI is prone to errors, hallucinations, and outdated information. You must not rely on AI-generated summaries for real-world investment decisions.
• Media (Giphy): The use of GIFs within the app is subject to Giphy's respective terms of service.

8. Intellectual Property Saku Financial Inc. retains all rights, title, and interest in the app's original content, features, botanical-themed assets, and functionality. By creating a public profile, you grant Saku a non-exclusive, royalty-free, worldwide license to display your chosen username, "Garden" (watchlist), and public statistics within the app for social features.

9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAKU FINANCIAL INC., ITS CREATORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS APPLICATION.

10. Termination We may terminate or suspend your account and bar access to Saku immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

11. Governing Law These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

12. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use Saku after those revisions become effective, you agree to be bound by the revised terms.
